Microsoft doesn't offer tech support for OEM versions. Other than that, there's very little difference.

One's a OEM version and the other isn't. 

Could either one be installed for a new system build?

OEM versions used to be tied to the motherboard too (at least back in the XP days), so if you used an OEM version and then swapped to a new MoBo you had to buy windows again. Do they still do that or did they stop?

 

EDIT--------------------------

Just did some research and as of Windows 8 OEM copies are no longer tied to the motherboard, so no worries there. Windows 7 was the last Windows OS that had the MoBo lock on OEM versions.

Even then, there's a way around it. You're allowed to swap out if your MoBo dies, so there's still a way to transfer them.
