MSI GTX 970 - Code 43 in Device Manager

So my new MSI GTX 970, after installing 344.16 or 344.11 drivers, brings up Code 43 in Device Manager (Windows 8.1).

Here’s what I’ve tried with no luck:
Cleared the old driver with Display Driver Uninstaller, tried 344.16 and 344.11
Reinstalled Windows 8.1, also tried Windows 7 (in which after installing the driver I couldn’t even get to login screen – the display simply turned off after Windows logo)
Update motherboard’s BIOS (although the latest one is from 2011)
Tried running 2 DIMMs instead of 4
Took the card to the shop where I bought it to see if maybe it’s dead, they tested it on a Windows 7 machine with the latest drivers and the 970 ran without any problems.

Plugged back my GTX 760, re-installed drivers - everything's works great as before.

Is this driver related or is my system somehow incompatible with the card?
